GENALAB INC., operating under the brand name Genabelle (“Genabelle,” “Company,” “we,” “us,” or “our”), provides the content, products, and services available on www.genabelle.com and any affiliated domains or storefronts (collectively, the “Site”) subject to these Terms & Conditions (the “Terms”).

By accessing or using the Site, you agree to be legally bound by these Terms.

1. Privacy

Please review our Privacy Policy to understand how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

2. Eligibility

By using the Site, you represent that:

• You are at least the age of majority in your jurisdiction.

We may refuse service, terminate accounts, or cancel orders at our discretion.

6. Intellectual Property

You may not copy, reproduce, modify, distribute, reverse engineer, or exploit any portion of the Site without written consent.

Unauthorized use may result in legal action.

7. Limited License

We grant you a limited, non-exclusive, revocable license to use the Site for personal purposes only.

You may not:

• Use bots or automation
• Mirror or frame the Site
• Interfere with Site security
• Extract ingredient lists for commercial duplication
  

Violation terminates this license immediately.

8. User Accounts

If you create an account:

• You are responsible for maintaining password confidentiality.
• You are responsible for activity under your account.
• You must provide accurate information.

We may suspend or terminate accounts at our discretion.

9. User-Generated Content (UGC)

By submitting User Content (including via upload, email, direct message, or affirmative hashtag/consent), you grant Genabelle and its affiliates a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works from the content for marketing, advertising, promotional, and commercial purposes in any media now known or later developed.

Genabelle may use the User Content without further notice, attribution, or prior approval, unless otherwise required by law.

Genabelle is not obligated to use submitted content.

Deletion of a social post does not revoke the granted license.

You will not receive compensation for use of User Content unless expressly agreed in writing.

You may provide User Content to us by any of the following methods (collectively, “Submitting”):

a) uploading User Content directly to a Genabelle website, form, or platform,

b) responding with an affirmative consent (for example, “YES,” “I agree,” or a designated hashtag such as [but not limited to] #GenabelleSkincare or #GenabellePDRN) to our request to use content you posted on social media,

c) sending User Content to us by email, direct message, file transfer, or otherwise permitting us to access or use it.

License Grant

By Submitting User Content, you grant to Genabelle, its parent company, affiliates, contractors, agents, service providers, licensees, successors, and assigns (collectively, the “Licensed Parties”) a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to use your User Content and any information you provide in connection with it (including your name, likeness, voice, username, social handle, caption, and general location information, if included) for any lawful purpose, including marketing, advertising, promotional, and commercial purposes.

This license includes the right to, in the Licensed Parties’ discretion and in any media now known or later developed (online and offline):

• display, publish, and repost
• reproduce and distribute
• edit, crop, retouch, resize, translate, and adapt
• create derivative works
• combine with other materials
• use in paid media, including platform ads and whitelisting tools where supported
• sublicense to third parties for lawful uses related to Genabelle campaigns or brand marketing

Genabelle is not required to use any User Content and may remove or stop using User Content at any time.

Your Representations and Warranties

By Submitting User Content, you represent and warrant that:

a) you own the User Content or have all necessary rights and permissions to grant the license in this section,
b) you have obtained consent from any identifiable individuals appearing in the User Content (and where required, consent from a parent or legal guardian for minors),
c) the User Content and Genabelle’s use of it will not violate any law, platform policy, or third-party rights (including copyright, trademark, publicity, or privacy rights),
d) you are at least the age of majority in your jurisdiction, or you have verifiable parental/legal guardian consent if you are not.

Release; No Payment Obligation

By Submitting User Content, you release and agree to hold harmless the Licensed Parties from any claims, liabilities, damages, losses, costs, or expenses arising out of or related to the Licensed Parties’ use of the User Content as permitted under this Agreement.

You acknowledge and agree that:

• you will not receive compensation for the Licensed Parties’ use of your User Content unless otherwise agreed in writing, and
• no additional approvals are required for the Licensed Parties to use the User Content as authorized in this section.

Deletion Does Not Revoke the License

If you delete a consent comment/hashtag reply, remove the social post, or otherwise delete the User Content after providing consent, your license grant and agreement under these Terms will remain in effect.

5. No Endorsement; Third-Party and User Content Disclaimer

User Content and other third-party content may appear on Genabelle’s websites, social channels, or platforms. The presence of such content does not necessarily reflect Genabelle’s views or constitute endorsement.

To the fullest extent permitted by law, Genabelle is not responsible or liable for any third-party or User Content, including any claims relating to accuracy, legality, infringement, privacy, or any loss or harm arising from viewing, relying on, or using such content.

10. MEDICAL DISCLAIMER

Genabelle products are cosmetic products.

They are not intended to:

• Diagnose
• Treat
• Cure
• Prevent disease

Statements on this Site have not been evaluated by regulatory authorities unless explicitly stated.

Always consult a medical professional for medical concerns.

11. PROMOTIONS & DISCOUNTS

Promotions, giveaways, and discount codes:

• Are subject to individual promotion terms.
• May not be transferable.
• Have no cash value.
• May be revoked at any time.

We reserve the right to cancel promotional benefits in cases of suspected abuse, multiple account creation, or automated redemption.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Genabelle shall not be liable for:

• Indirect damages
• Incidental damages
• Consequential damages
• Loss of profits
• Data loss
• Business interruption

Total liability shall not exceed the greater of:

• $100 USD
  OR
• The total amount paid by you for products in the preceding 3 months.

Nothing in these Terms limits rights that cannot legally be excluded.

13. INDEMNIFICATION

You agree to defend and indemnify GENALAB INC. and its affiliates against any claims, damages, liabilities, or legal fees arising from:

• Your misuse of the Site
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of third-party rights

14. DISPUTE RESOLUTION

Any dispute arising out of these Terms shall be governed by the laws of:

Republic of Korea, without regard to conflict-of-law principles.

Disputes shall be resolved:

• Through binding arbitration in Seoul, Korea
  OR
• In a court of competent jurisdiction located in Seoul, Korea.

You waive participation in any class or representative action.

15. ELECTRONIC COMMUNICATIONS

By using the Site, you consent to receive communications electronically, including:

• Order confirmations
• Policy updates
• Legal notices

16. MODIFICATIONS

We reserve the right to modify these Terms at any time.

Updated Terms become effective immediately upon posting.

Continued use of the Site constitutes acceptance.
